Terms of Use & End User License Agreement
These Terms of Use and End User License Agreement, together called the “Terms,” govern your access to and use of the text and source-code editing application known as Note My. By downloading, installing, opening, accessing, purchasing, or using Note My, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the application.
Acknowledgement. You acknowledge and agree that these Terms are concluded between you and MAHTCA GLOBAL, and not with Apple, and that MAHTCA GLOBAL, not Apple, is solely responsible for Note My and for its content. Apple has no obligation to furnish any maintenance, support, or warranty services in respect of Note My, and is not responsible for addressing any claims you or any third party may have relating to Note My or your possession or use of it, except as expressly provided in these Terms or in Apple’s own published terms. Section 27 (Apple Third-Party Beneficiary) describes Apple’s separate and independent right to enforce these Terms against you.
1. Overview
Note My is a local text and source-code editor. It helps you open, create, view, and edit text-based files — notes, source code, logs, configuration, and other documents — across many tabs and split panes at once, with tools that include syntax colouring for multiple programming languages, search and replace within documents and across folders, file comparison, macro recording and playback, re-indentation and reformatting, invisible-character cleanup, encoding and line-ending management, code completion, structured-text (JSON/XML) tools, log analysis, live following of growing files, printing and export, autosave, optional backups and snapshots, and restoration of your tabs and session between launches. Note My also includes an optional Finder extension that adds items such as “Open in Note My” to Finder’s context menu, and is engineered to remain responsive on very large documents — in which mode some conveniences may behave differently or be reduced, as described in §11.
Note My does not require an account. The application is designed to operate locally on your Mac. Your documents, edits, decisions, and related content are stored locally on your Mac and remain under your control, subject to your device settings, operating-system behaviour, Apple services, backup settings, and any third-party apps or services you choose to use.
2. Acceptance, Withdrawal, and Termination
You must accept these Terms to use Note My. Acceptance is requested inside the application before first use, and your acceptance — including the Terms version and the date — is recorded locally on your Mac. If you decline, the application will not be available for use and will close. These Terms remain in force until terminated by you or by the developer.
Termination by you. You may terminate these Terms at any time by ceasing all use of Note My and deleting the application from your devices. You may also withdraw your acceptance inside the application at any time; upon withdrawal, Note My will cease to be available to you and will close, and it will remain unavailable unless and until you accept the Terms again.
Termination by the developer. Your rights under these Terms will terminate automatically, without notice from the developer, if you fail to comply with any provision of these Terms or of the Note My Acceptable Use Policy. Upon termination, you must immediately cease all use of Note My and delete the application from your devices. No refund or compensation is owed in connection with any termination, except where required by applicable law.
Survival. Termination does not affect any obligation, right, or remedy that, by its nature, is intended to survive, including §5, §6, §9, §10, §11, §12, §16, §17, §18, §20, §21, §22, §23, §24, §26, §27, §29, §31, §33, and §34.
Refunds. Refund requests must be handled through Apple and are subject to Apple’s App Store rules, refund policies, and applicable law. Note My does not control Apple’s refund decisions.
Continued use. Continued use of Note My after accepting these Terms means you continue to agree to them.
3. Age Requirement
You must be at least 13 years old to use Note My. If you reside in a country whose law sets a higher minimum age for the use of digital services or for consent to the processing of personal data — including, for residents of Romania and several other Member States of the European Economic Area, an age of 16 under Article 8 of the EU General Data Protection Regulation — that higher age applies to you. By using Note My you represent that you meet the applicable minimum age. If you do not, do not download, install, open, access, purchase, or use Note My.
4. License to Use the App
Subject to your compliance with these Terms and with the Usage Rules set forth in the Apple Media Services Terms and Conditions and the App Store Terms of Service (together, the “Apple Usage Rules”), the developer grants you a limited, personal, revocable, non-exclusive, non-transferable license to use Note My on Apple-branded devices that you own or control, or as otherwise permitted by Apple’s Family Sharing, volume purchasing, or applicable App Store rules.
You do not acquire ownership of Note My, its source code, object code, design, interface, icons, branding, workflows, documentation, or other intellectual property. All rights not expressly granted to you are reserved by the developer and its rights holders.
5. Prohibited Software Distribution
You may not distribute Note My or any copy, component, modified version, extracted portion, build, package, binary, installer, or derivative of Note My.
Except where expressly permitted by applicable law, you must not: (a) copy, reproduce, redistribute, sell, rent, lease, lend, sublicense, assign, publish, upload, host, mirror, share, transfer, or make Note My available to any third party; (b) distribute Note My outside authorized Apple distribution channels; (c) include Note My in another software package, bundle, marketplace, repository, device image, managed deployment, or commercial service without the developer’s prior written consent; (d) modify, adapt, translate, reverse engineer, decompile, disassemble, attempt to derive source code from, bypass protections in, or create derivative works from Note My; (e) remove, alter, obscure, or misrepresent any copyright, trademark, ownership, licensing, security, or attribution notice; (f) use Note My to build, train, benchmark, or market a competing product in a way that violates these Terms or applicable law.
These restrictions apply to the maximum extent permitted by law and do not limit rights that cannot legally be restricted.
6. Permitted Use and User Responsibility
Note My is intended for lawful, good-faith use. You are solely responsible for: (a) the documents, files, edits, transformations, and deletions you make using Note My; (b) deciding what to open, edit, save, rename, overwrite, convert, clean, export, share, or delete; (c) maintaining independent backups of every document and file that matters to you; (d) reviewing the results of any editing operation, transformation, or automated tool before relying on them; (e) complying with all applicable laws, platform rules, intellectual property rights, privacy rights, confidentiality obligations, employment obligations, evidence-preservation obligations, and contractual duties; (f) ensuring that your use of Note My does not violate the rights of any person or organization.
You must not use Note My for any unlawful or harmful activity. Detailed rules on prohibited conduct, reporting of suspected misuse, and the consequences of breach are set out in the Note My Acceptable Use Policy, which forms part of these Terms.
7. No Data Collection by Note My
Note My is designed not to collect, transmit, sell, rent, share, analyze, or remotely store your documents, files, edits, usage analytics, identifiers, or telemetry on servers controlled by the developer. Note My does not operate a user-account system and does not require you to create an account. Note My does not upload your documents or files to servers controlled by the developer. Note My does not use your content for advertising, tracking, profiling, analytics, training, resale, or third-party marketing. Note My contains no networking code of its own; the only network activity is performed by Apple’s own system services, to establish purchases and transactions state, under Apple’s terms.
To remember your choices, Note My stores your preferences, your acceptance of these Terms (version and date), and small items of application state locally on your Mac, and a minimal convenience record of your purchase tier in your Mac’s Keychain. This information resides on your Mac; the developer does not receive, access, or hold it. Further detail is provided in the Note My Privacy Policy.
8. Local Processing and Device Storage
All editing, analysis, comparison, transformation, and organization operations are designed to run locally on your Mac. Everything you edit is stored locally on your Mac, under your control, and remains subject to your own device storage, file-system behaviour, operating-system behaviour, backup settings, and other applications or services you choose to use.
Note My does not control iCloud, Time Machine, device backups, third-party sync services, cloud-storage providers, external drives, network volumes, version-control systems, or any other system or service outside Note My.
9. Files, File Operations, and the Risk Inherent in Editing
Note My is a file editor. By its nature, it opens, reads, modifies, converts, renames, moves, saves, overwrites, and deletes files at your direction. Every one of these operations can change or destroy data, and many cannot be undone. You understand and agree that:
(a) Saving overwrites. Saving a document replaces the previous contents of the file on disk. The previous contents may be unrecoverable once overwritten. Optional backup features (see §10) are best-effort conveniences, not guarantees.
(b) Renaming and moving change identity. Renaming or moving a file — from within Note My, from Finder, or from any other tool — changes how the file is identified by the file system and by other software. Renaming over an existing file, or saving over an existing file, replaces that file’s contents, which may be unrecoverable.
(c) Conversions transform data. Changing a document’s text encoding, line endings, or format, re-indenting, reformatting, minifying, cleaning, or otherwise transforming a document changes its bytes. Some transformations are inherently lossy — for example, converting text to an encoding that cannot represent all of its characters, normalising line endings, or removing characters identified as unwanted — and cannot be reversed once the document is saved. It is your responsibility to review the result of any conversion or transformation before saving, and to keep a copy of the original where it matters.
(d) Automated tools act at your direction, imperfectly. Search and replace, macros, text cleanup, re-indentation, comment repair, structured-text formatting, and similar tools operate mechanically on the text you point them at. They may match or modify more, less, or different text than you intended, and their heuristics may misclassify content. You are responsible for reviewing every automated change before relying on it or saving it.
(e) Deletion may be permanent. Closing a tab, discarding a document, deleting a file, or declining a recovery offer may permanently discard data. Other copies may exist elsewhere — in your backups, in exports, on other devices — but Note My does not control those.
(f) Printing, exporting, and copying re-encode your content. Printing a document, exporting it as HTML, RTF, or PDF, or copying it in a styled format produces a new representation of your text. Fidelity of colouring, layout, pagination, character rendering, and encoding in any printed, exported, or copied output is not guaranteed, and an export is not a backup of the original file.
(g) The clipboard is yours. Note My acts on your clipboard only when you copy, cut, or paste; it does not read or monitor the clipboard on its own. Content you paste may, at your option, be cleaned or transformed on paste, and content you copy out of Note My leaves the application’s control entirely: what other software does with it, and how long it persists in clipboard history or sync services, is outside Note My’s control and responsibility.
(h) Other software shares your files. Files open in Note My remain ordinary files on disk. Other applications, scripts, build tools, sync clients, antivirus software, and the operating system can modify, truncate, replace, lock, or delete them at any time, with or without Note My noticing. Note My’s file-monitoring features (see §12) are best-effort conveniences and do not alter this reality.
10. Autosave, Recovery, and Backups — Best-Effort Conveniences, Not Guarantees
Note My includes features designed to reduce the risk of losing work: automatic saving of unsaved changes, crash-recovery data, optional backups of the previous version of a file on save, optional periodic snapshots of open documents, and restoration of your open tabs and session between launches. The developer builds and tests these features with care. Nevertheless, you understand and agree that:
(a) No recovery is guaranteed. Autosave, crash recovery, backups, snapshots, and session restoration are provided strictly on a best-effort, as-available basis. The developer does not warrant, guarantee, or promise that any autosaved content, recovery data, backup, snapshot, or session will exist, be complete, be current, be uncorrupted, or be recoverable in any particular situation — or in any situation at all.
(b) No protection against data loss is guaranteed. Despite the developer’s efforts, data loss can and does occur in real-world computing. Without limitation, work may be lost — partially, completely, or unrecoverably — if the application terminates unexpectedly; if the device loses power, restarts, or is shut down; if the operating system force-quits or terminates the application under low-memory, thermal, or other pressure; if storage becomes full, fails, is disconnected, or is corrupted; if a file is modified, locked, moved, renamed, replaced, truncated, or deleted by other software or by another person; if permissions, sandboxing, or security software prevent an operation from completing; if a save, rename, resave, overwrite, conversion, cleanup, or other operation is interrupted at any point; if a system update interrupts an operation; if recovery data is itself damaged, incomplete, or inconsistent; or in any other circumstance, foreseeable or not, inside or outside the developer’s control.
(c) Timing gaps are inherent. Autosave and snapshot features operate periodically and on heuristics. Work performed between the most recent autosave, snapshot, or backup and an interruption may not be captured anywhere and may be permanently lost.
(d) Recovery features can themselves fail or mislead. A recovery offer may present older content than you expect; a restoration may be partial; a backup may reflect a state you did not intend to keep; automatic reconciliation between a file on disk and unsaved changes may not preserve the version you would have chosen. You are responsible for reviewing recovered or restored content before relying on it.
(e) Independent backups are your responsibility. You agree to maintain your own regular, independent backups — using Time Machine, version control, copies on separate storage, or any other means of your choosing — of every document and file that is important to you. Note My’s internal conveniences are not a substitute for a backup discipline, and you agree not to treat them as one.
(f) No liability for lost work. In all circumstances described in this section, and to the maximum extent permitted by applicable law, the developer accepts no liability for any loss of, damage to, corruption of, or inability to recover any document, file, edit, unsaved change, autosave, backup, snapshot, session, or related content. You accept this risk as a condition of using Note My.
User acknowledgement: I understand that Note My edits, saves, renames, overwrites, converts, and deletes files at my direction, and that these operations can permanently change or destroy data. I understand that autosave, crash recovery, backups, snapshots, and session restoration are best-effort conveniences that may fail, and that no recovery of any content is guaranteed in any situation. I understand that I am responsible for keeping my own independent backups of anything that matters to me. I accept this risk. This acknowledgement is also presented to me in Note My, and my in-app acceptance is recorded as my consent.
11. Detection, Analysis, and Suggestion Limitations
Note My may use on-device analysis to help you — for example, detecting a document’s language for syntax colouring, detecting text encodings and line endings, identifying invisible or unwanted characters, offering code completions and call tips, comparing files, highlighting log patterns, and suggesting file names. This analysis is heuristic and behaviour can vary between documents, file formats, languages, operating-system versions, devices, and other software.
Note My attempts to perform the actions you request, but does not guarantee that: (a) any language, encoding, line ending, or file type will be detected correctly; (b) any completion, suggestion, call tip, or highlight is accurate, complete, or appropriate; (c) any comparison, difference, count, word count, line count, or analysis result is correct or complete; (d) any character identified for cleanup is genuinely unwanted, or that every unwanted character is identified; (e) any validation tool (for example, JSON validation) will catch every defect, or that a document it reports as valid is correct, safe, or fit for any purpose. Syntax colouring and validation are reading aids, not review, certification, or approval of your content.
Your content is your content. Note My is a tool for editing text. Anything you write, complete, transform, or accept inside Note My — including source code, scripts, configuration, and data that you or others later compile, execute, deploy, publish, or rely upon — is your work and your responsibility. The developer is not responsible for the behaviour, correctness, security, or consequences of any code or content edited with Note My, including code assembled with the help of the app’s completion or transformation features.
Large documents. Note My deliberately adapts its behaviour on very large documents to keep the editor responsive: certain analyses, decorations, or conveniences may be reduced, deferred, or unavailable above size thresholds, and may change between versions. Reduced behaviour on a large document is a design decision, not a defect. You are responsible for reviewing your documents before you rely on them, share them, save them, or delete them.
12. External Changes, File Monitoring, and Live Following
At your option, Note My can watch open files for changes made by other software, offer to reload changed files, warn when a file appears to have been deleted or replaced, keep your version instead of the version on disk, and follow the end of a growing file (for example, a log) as it is written.
These features depend on file-system events, polling, timing, permissions, volume behaviour, and the actions of other software, none of which Note My controls. A warning or notice — that a file changed, was deleted, or was replaced — is a best-effort courtesy, not a commitment: it may arrive late, may be inaccurate, or may not appear at all, and its absence is not a representation that nothing changed. Note My does not guarantee that any external change, deletion, rename, or replacement will be detected, detected promptly, or classified correctly; that a reload will preserve the state you expect; that following a growing file will capture every change; or that choosing to keep your version will succeed in preserving it in every circumstance. Decisions you make in response to a file-change notice — reloading, keeping your version, closing a tab — are your own, and may discard data. The protections and disclaimers of §9 and §10 apply fully to these features.
13. Purchases, Payments, and Refunds
In-app purchases as licences. Each in-app purchase you complete grants you a limited, personal, revocable, non-exclusive, non-transferable licence to access the corresponding feature, feature set, plan, or entitlement within Note My on the terms identified at the time of purchase. You do not acquire ownership of any feature, function, code, content, design, or other component of Note My by completing an in-app purchase. All in-app purchases are licences to use, not transfers of property or sales of goods, and remain subject to these Terms, the Apple Usage Rules, and applicable law.
Purchases and in-app purchases are processed by Apple through the App Store. Note My does not receive or store your full payment card details. Apple may process purchase, refund, tax, invoice, device, account, or transaction information under Apple’s own terms and privacy policies. Note My is not responsible for Apple’s payment processing, refund decisions, billing rules, taxes, exchange rates, chargebacks, Family Sharing rules, or App Store availability. Refund requests must be submitted through Apple and are subject to Apple’s policies and applicable law.
Note My offers only one-time, non-consumable in-app purchases. It does not offer subscriptions of any kind — nothing in Note My renews, recurs, or charges you on a schedule. The detailed terms of one-time purchases are set out in §30.
Right of Withdrawal (EU/EEA Consumers). If you are a consumer resident in the European Union or the European Economic Area, you have a statutory right to withdraw from a distance purchase within 14 days. By starting to use Note My, any unlocked feature, or any in-app purchase immediately after the App Store transaction is confirmed, you expressly request immediate performance and acknowledge that you will lose the right of withdrawal once performance has begun, in accordance with Article 16(m) of Directive 2011/83/EU and equivalent national law. Apple obtains and records this consent on the developer’s behalf at the time of purchase.
14. Apple Terms and Third-Party Services
Your use of Note My may also be subject to Apple’s App Store terms, Apple Media Services terms, device terms, operating-system terms, and any applicable third-party terms. You agree to comply with all applicable third-party terms when using Note My.
External services and links. Note My may include, link to, or interact with services provided by Apple or by other third parties, including the developer’s own published websites, supervisory-authority websites, and the European Online Dispute Resolution platform (together, “External Services”). External Services are provided by their respective operators and are subject to their terms and policies. The developer does not control, endorse, monitor, or assume responsibility for any External Service. You access and use External Services at your own risk, and the developer disclaims any liability arising from your use of any External Service to the maximum extent permitted by applicable law.
Apple is not responsible for Note My, its content, maintenance, support, claims, warranties, or your use of the application, except as Apple may separately provide under Apple’s own terms or applicable law.
15. Maintenance and Support
The developer is responsible for maintenance and support for Note My only as stated in these Terms or as required by applicable law. Apple has no obligation to provide maintenance or support services for Note My. Support questions, complaints, or claims should be directed to: help@notemy.app — MAHTCA GLOBAL, Bechetului, Nr. 26, Malu Mare, Dolj, Romania; Romanian Trade Register: J16/663/2018; VAT / CUI: 39070729.
16. Ownership of Your Content
You retain all rights you already have in your documents, files, and other content. Note My does not claim ownership of any document, file, or other content you create or process with the application. You represent that you have the necessary rights, permissions, or lawful authority to open, edit, transform, share, or delete whatever you process using Note My, including where a document contains the content, information, or personal data of another person.
17. Intellectual Property
Note My, including its software, design, interface, graphics, icons, workflows, branding, names, documentation, and related materials, is owned by the developer or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not use the Note My name, logos, branding, screenshots, interface, or other proprietary materials in a way that suggests endorsement, affiliation, resale, redistribution, or ownership unless the developer gives prior written permission.
18. Privacy and Data Roles
Note My operates on your Mac. The developer does not receive, transmit, access, host, or store the documents or files that you handle within the application, all of which are stored locally on your Mac. Your preferences, application state, and your record of acceptance of these Terms are stored locally on your Mac; a minimal convenience record of your purchase tier is stored in your Mac’s Keychain. The developer does not access or hold any of it.
Because the developer never sees or holds your content, the developer does not act as a “controller” or “processor” of that content within the meaning of the EU General Data Protection Regulation, the UK GDPR, or equivalent data-protection laws. When you use Note My to open, edit, transform, or share content — including any personal data of yourself or of other persons that appears in it — you act as the person determining the purposes and means of that processing on your own device, and you are solely responsible for the lawful basis of that processing and for compliance with any data-protection, privacy, publicity, confidentiality, or consent obligations owed to any third party.
Trader information. MAHTCA GLOBAL, Bechetului Nr. 26, Malu Mare, Dolj, Romania; registered with the Romanian Trade Register under J16/663/2018; CUI 39070729; contactable at help@notemy.app. In Romania, you also have the right to lodge a complaint with the National Supervisory Authority for Personal Data Processing (ANSPDCP, www.dataprotection.ro). Consumers in other countries may complain to their local supervisory authority.
19. Security
Note My is designed to operate locally, but no software, device, operating system, file system, or workflow can be guaranteed to be error-free, uninterrupted, secure, or immune from data loss. You are responsible for securing your device, maintaining backups, managing permissions, updating your operating system, protecting your files, and controlling access to your documents.
20. No Warranty
Note My is provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, the developer, product owners, contributors, licensors, and affiliates disclaim all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including, without limitation, the implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, availability, uninterrupted operation, error-free operation, quiet enjoyment, non-infringement of third-party rights, detection accuracy, transformation correctness, save or export success, autosave success, backup success, snapshot success, session-restoration success, file recovery, recovery of unsaved changes, and prevention of data loss, and compatibility with any particular device, operating system, file system, app, service, or workflow.
No oral or written information or advice given by the developer or by Apple shall create a warranty. Should Note My or any function prove defective, you assume the entire cost of all necessary servicing, repair, recovery, replacement, or correction. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you, and you may have additional rights under the mandatory consumer-protection law of your country of residence. You use Note My at your own risk.
21. Limitation of Liability
To the maximum extent permitted by applicable law, the developer, product owners, contributors, licensors, and affiliates will not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including damages for: (a) loss of documents, files, edits, unsaved changes, originals, autosaves, backups, snapshots, sessions, or data of any kind; (b) failed, partial, delayed, unexpected, interrupted, or irreversible open, edit, save, resave, rename, move, overwrite, conversion, cleanup, transformation, comparison, macro, export, reload, recovery, restoration, or deletion operations, including those caused by application crashes, device power loss, force-quit, operating-system termination, low-memory or thermal termination, storage failure or exhaustion, file-system behaviour, actions of other software, system updates, or any other interruption; (c) corruption, encoding or format changes, or compatibility issues; (d) reliance on the app’s detection, analysis, suggestions, or automated transformations; (e) lost profits, lost revenue, lost business, lost opportunity, reputational harm, emotional distress, or business interruption; (f) actions of Apple, device storage, operating systems, file systems, third-party apps, sync or cloud services, version-control systems, or other external systems; (g) unlawful, harmful, negligent, or unauthorized use of Note My by you or any third party.
To the maximum extent permitted by applicable law, the developer’s total aggregate liability for all claims related to Note My will not exceed the greater of: (a) the price you paid for the specific Note My product or in-app purchase from which the claim arises; or (b) EUR 25. This cap applies per user and across all claims arising from the same user’s use of Note My.
Nothing in these Terms excludes or limits liability where liability cannot legally be excluded, including liability for death or personal injury caused by negligence, for fraud, for fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded under applicable consumer-protection law.
22. Indemnity
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the developer, product owners, contributors, licensors, affiliates, officers, employees, agents, and successors (the “Indemnified Parties”) from and against any and all claims, demands, investigations, regulatory inquiries, enforcement actions, liabilities, damages, judgments, awards, fines, penalties, losses, costs, and expenses, including reasonable legal fees, expert fees, and reasonable internal investigation costs, whether arising in any jurisdiction in the world, that arise from or relate to: (a) your use, misuse, or inability to use Note My; (b) the documents, files, edits, transformations, or deletions you make using Note My; (c) your violation of these Terms; (d) your violation of any law, rule, regulation, court order, contract, privacy right, data-protection right, intellectual property right, publicity right, or third-party right, including the EU GDPR, the UK GDPR, the California Consumer Privacy Act and California Privacy Rights Act, the Brazilian LGPD, the Chinese Personal Information Protection Law, the Indian Digital Personal Data Protection Act, the Australian Privacy Principles, and the Canadian PIPEDA; (e) any claim brought by a person whose content, information, or personal data appears in any document you edited, kept, shared, or deleted using Note My; (f) your reliance on content processed using Note My; (g) your use of Note My in connection with employment, professional, evidence-preservation, journalistic, or fiduciary obligations owed to any third party; (h) any chargeback, payment dispute, or fraudulent transaction initiated by you.
The Indemnified Parties may, at their sole option and at your expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate. You will not settle, compromise, or admit liability without the prior written consent of the developer. You will promptly notify the developer at help@notemy.app of any actual or threatened claim. Your indemnification obligations apply regardless of whether the underlying claim is ultimately found valid, frivolous, or without merit, and survive your deletion of Note My and any termination of these Terms.
23. Product Claims
You and the developer acknowledge that the developer, not Apple, is responsible for addressing any claims by you or any third party relating to Note My or your possession and use of it, including: (a) product liability claims; (b) claims that Note My fails to conform to any applicable legal or regulatory requirement; (c) claims arising under consumer protection, privacy, data protection, or similar laws; (d) claims relating to editing, saving, recovery, or app performance. This section does not make the developer liable for claims or damages that are excluded, limited, or disclaimed elsewhere in these Terms to the maximum extent permitted by applicable law.
24. Intellectual Property Claims
If a third party claims that Note My or your possession and use of it infringes that party’s intellectual property rights, the developer, not Apple, is responsible for investigating, defending, settling, and discharging that claim, subject to these Terms and applicable law. You must promptly notify the developer of any such claim and must not admit liability, settle, or compromise any claim involving Note My without the developer’s prior written consent.
25. Apple Warranty Acknowledgement
If Note My fails to conform to any applicable warranty that cannot legally be disclaimed, you may notify Apple, and Apple may refund the purchase price for Note My, if any, in accordance with Apple’s applicable rules. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Note My. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the responsibility of the developer only to the extent required by applicable law and subject to the limitations and disclaimers in these Terms.
26. Export and Legal Compliance
You represent and warrant that: (a) you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country; (b) you are not listed on any U.S. Government list of prohibited or restricted parties; (c) your use of Note My will comply with all applicable export control, sanctions, trade, data protection, privacy, intellectual property, and consumer protection laws. You may not use, export, re-export, import, sell, release, or transfer Note My except as permitted by applicable law and these Terms.
United States Government End-Users. Note My and any related documentation are “Commercial Items,” as defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” and are licensed to United States Government end-users only as Commercial Items and with only the rights granted to all other end-users under these Terms.
27. Apple Third-Party Beneficiary
Apple and Apple’s subsidiaries are intended third-party beneficiaries of these Terms. After you accept these Terms, Apple and Apple’s subsidiaries have the right to enforce these Terms against you as a third-party beneficiary.
28. Availability, Updates, and Feature Changes
The developer may update, modify, suspend, remove, replace, or discontinue Note My or any feature at any time, subject to applicable law and Apple’s rules. Some features may depend on device capabilities, operating-system versions, permissions, storage availability, or third-party services. The developer does not guarantee that Note My or any feature will remain available, compatible, unchanged, or supported forever.
29. Events Outside the Developer’s Control
The developer is not liable for any delay, failure, partial performance, data loss, service interruption, feature unavailability, degraded performance, loss of access, loss of entitlement recognition, or other adverse outcome caused, in whole or in part, by any event or condition outside the developer’s reasonable control, including: acts or omissions of Apple, the App Store, the Apple Developer Program, or Apple’s in-app purchase services; changes, deprecations, or removals in any operating system, service, permission, file format, file system, or device capability; acts or failures of device hardware, third-party applications, cloud services, file providers, or network providers; cyber attacks, intrusions, malware, or unauthorized access; natural disasters, pandemics, war, civil disturbance, terrorism; governmental, regulatory, or judicial action; power, utility, or internet failure; labour disputes; and failures of payment processors or App Store billing systems. During any such event, the developer may suspend, restrict, or modify any feature without prior notice and without liability, and is under no obligation to provide refunds, credits, or compensation except where required by applicable law.
30. One-Time Purchase In-App Products
Note My offers one or more one-time, non-consumable in-app purchases — for example, plans that change how many tabs may be open at once, and a plan that additionally unlocks the application’s settings.
A one-time / non-consumable purchase grants you a personal, revocable, non-exclusive, non-transferable licence — not ownership — to access the corresponding Note My feature set. The duration is the lifetime of that non-consumable licence as recognised by Apple’s App Store systems and the lifetime of the applicable Note My product, feature set, platform support, and technical availability. It does not transfer to you any ownership interest in Note My, any feature, any code, any content, or any underlying intellectual property, and does not mean the lifetime of the user, the developer, any company, any device, any operating system, the App Store, Apple services, or any third-party service.
A one-time purchase is intended to mean that, after Apple successfully processes the purchase, the developer will not charge you again for the same purchased Note My feature set on the same supported platform, so long as: (a) the purchase remains valid and is not refunded, reversed, revoked, cancelled, charged back, found fraudulent, or otherwise invalidated by Apple or applicable law; (b) Note My remains available, maintained, technically operable, and supported on the relevant platform; (c) the relevant device, operating system, App Store account, and Apple services continue to support recognition or restoration of the purchase; (d) continued access is not prevented by law, regulation, court order, platform rule, security requirement, technical limitation, or circumstances outside the developer’s reasonable control.
A one-time purchase covers the feature set identified at the time of purchase, together with any fixes, compatibility updates, or improvements the developer chooses to include, but does not automatically include separate future applications, separate products or services, features released as a distinct paid product, features on platforms not included in the original purchase, or third-party services offered separately. Where supported by Apple, you may restore a valid purchase using the same Apple Account used for the original purchase. If a purchase is refunded or revoked, the corresponding features return to the locked state, and settings associated with a revoked plan may be restored to their defaults. The developer does not control Apple’s purchase records, refund decisions, App Store account status, Family Sharing behaviour, App Store availability, device compatibility, or operating-system support.
31. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without the developer’s prior written consent, except where prohibited by applicable law. The developer may assign, transfer, or delegate these Terms in connection with a merger, acquisition, restructuring, sale of assets, transfer of the app, change of control, or similar transaction, subject to applicable law.
32. Modification of Terms
Authoritative version. The version of these Terms published at https://www.notemy.app/terms is the authoritative and binding version. The copy made available within Note My is a reference copy for your convenience and may, from time to time, lag the authoritative version; where they differ, the authoritative version controls.
Acceptance is continuous. You accept these Terms each time you download, install, open, access, purchase from, or use Note My, or any feature or in-app purchase within it.
Updates. The developer may update these Terms from time to time to reflect changes in Note My, applicable law, Apple’s requirements, or the developer’s practices. When updated, the Effective Date and Version will be revised. Where a change materially affects your rights, the developer will use reasonable efforts to notify you within Note My before the change takes effect, and may ask you to accept the updated Terms before continuing to use the application. Your remedy if you do not accept an update is to stop using and delete Note My. These principles apply equally to the Note My Privacy Policy (https://www.notemy.app/privacy) and Acceptable Use Policy (https://www.notemy.app/aup).
33. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with these Terms or your use of Note My are governed by the laws of Romania, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980) is expressly excluded. You and the developer agree that the courts of Dolj County, Romania have non-exclusive jurisdiction to hear any such dispute.
Nothing in this section deprives you of the protection of mandatory consumer-protection rules of the country in which you reside. EU/EEA/UK consumers may rely on those rules and may bring proceedings in the courts of their country of residence in the cases permitted by those rules. EU consumers may also access the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr; the developer’s contact email for ODR purposes is help@notemy.app.
34. Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable, that part will be enforced to the maximum extent permitted by law or modified to achieve the closest lawful effect. The remaining parts of these Terms will remain in full force and effect.
35. Entire Agreement
These Terms, together with the Note My Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and the developer regarding Note My and replace any prior or contemporaneous agreements. Apple’s terms, App Store rules, and applicable third-party terms may also apply separately.
36. Language
These Terms may be translated for convenience. If there is a conflict between a translation and the English version, the English version controls, except where applicable law requires otherwise.
37. Final User Acknowledgement
By downloading, installing, opening, accessing, purchasing, or using Note My, you acknowledge that you have read, understood, and agreed to these Terms — including §9 (that editing, saving, renaming, overwriting, converting, and deleting files can permanently change or destroy data), §10 (that autosave, recovery, and backup features are best-effort conveniences, that no recovery of any content is guaranteed, and that you are responsible for your own independent backups), and §11 (that analysis, suggestions, and validation are aids, not guarantees, and that your content and code remain your responsibility). If you do not agree, do not download, install, open, access, purchase, or use Note My.
